Website Terms of Use

These Website Terms of Use (the "Terms") are a binding agreement between you and Data Wise Consulting LLC, a California limited liability company ("Data Wise," "we," "us," or "our"), and govern your access to and use of the website located at datawisec.com and the informational materials made available through it (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Scope; Consulting Services Are Separate

These Terms apply only to your access to and use of the Site and its informational materials. They do not govern consulting services. Consulting services are provided only under a separately signed Master Services Agreement and one or more Statements of Work executed by authorized representatives of both parties. In the event of a conflict between these Terms and an executed Master Services Agreement or Statement of Work, the executed agreement controls as to the services it covers.

2. Eligibility

You represent that you are at least 18 years of age, have the capacity to enter into a binding agreement, and are accessing the Site for lawful business purposes. If you access the Site on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.

3. Informational Use Only; No Professional Advice

Content on the Site is provided for general informational purposes only. It does not constitute legal, financial, accounting, tax, regulatory, cybersecurity, insurance, or other professional advice, and it is not a substitute for engaging qualified professionals who can evaluate your specific facts. Content may be general, summary, or out of date, and may not apply to your circumstances. Any action you take based on Site content is taken at your sole risk.

4. No Engagement or Fiduciary Relationship

Accessing the Site, submitting the contact form, requesting a resource, subscribing to materials, or otherwise communicating through the Site does not create a consulting, advisory, agency, fiduciary, or attorney-client relationship, and does not obligate Data Wise to provide services. No duty of confidentiality arises from an unsolicited submission. Do not send confidential, regulated, or sensitive information through the Site.

5. Ownership; Limited Permitted Use

The Site and its contents, including text, articles, graphics, logos, images, layouts, methodologies, frameworks, templates, and software, are owned by or licensed to Data Wise and are protected by United States and international intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site, and to download or print a reasonable number of copies of materials expressly made available for download, in each case solely for your internal business evaluation and reference. All rights not expressly granted are reserved. You must retain all copyright and proprietary notices on any copy you make.

6. Restrictions on Scraping, Automated Extraction, and Model Training

You may not, and may not permit any person or system acting on your behalf to:

  • use any robot, spider, crawler, scraper, headless browser, or other automated means to access, index, copy, monitor, or extract any portion of the Site, except that general-purpose search engine crawlers may index the Site consistent with our published robots directives;
  • collect, compile, or reproduce any portion of the Site to build or populate a dataset, database, archive, corpus, index, or repository;
  • use any portion of the Site to train, fine-tune, evaluate, ground, augment, or otherwise develop or improve any machine learning model, large language model, or artificial intelligence system; or
  • circumvent, disable, or interfere with any access control, rate limit, robots directive, bot protection, or other technical measure applied to the Site.

These restrictions apply whether or not the activity is performed by you directly, by a service provider, or by an automated agent, and are conditions of the license granted in Section 5. Requests for permission may be submitted through the contact form.

7. Acceptable Use

You agree not to:

  • use the Site in violation of any applicable law, regulation, or third-party right;
  • attempt to gain unauthorized access to the Site, any related system, or any account, or probe, scan, or test the vulnerability of any system without our prior written authorization;
  • interfere with or disrupt the integrity, availability, or performance of the Site;
  • introduce viruses, malware, or other harmful code;
  • impersonate any person or misrepresent your identity or affiliation;
  • submit false, misleading, unlawful, defamatory, harassing, or infringing content; or
  • use the Site to send unsolicited commercial communications.

8. Submissions Through the Contact Form

Information you submit through the contact form is handled as described in our Privacy Policy. You represent that the information you submit is accurate and that you have the right to provide it. Do not submit confidential, regulated, or personally sensitive information through the Site. If a matter requires confidential treatment, we will establish an appropriate channel and, where warranted, a written confidentiality agreement.

9. Feedback

If you send us a suggestion, comment, or idea and expressly identify it as feedback, you grant Data Wise a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, and incorporate that feedback in our business without obligation, attribution, or compensation. This license applies only to material you expressly identify as feedback. It does not apply to any other submission, and it does not transfer ownership of your intellectual property.

10. Third-Party Services and Links

The Site relies on third-party providers for hosting, network security, bot protection, data storage, email delivery, and font delivery, and may link to third-party websites. We do not control and are not responsible for third-party content, practices, availability, or terms. Your use of a third-party site or service is at your own risk and subject to that party's terms and privacy practices.

11. Availability and Changes to the Site

We may modify, suspend, or discontinue any part of the Site at any time without notice. We do not undertake to update Site content, and content may become inaccurate or incomplete over time.

12. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATA WISE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, QUIET ENJOYMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. NO ADVICE OR INFORMATION OBTAINED FROM THE SITE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

13. Limitation of Liability for Website Use

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DATA WISE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR ANY OTHER THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF DATA WISE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100). THIS SECTION APPLIES ONLY TO WEBSITE USE AND DOES NOT APPLY TO LIABILITY UNDER A SEPARATELY SIGNED MASTER SERVICES AGREEMENT OR STATEMENT OF WORK, WHICH IS GOVERNED BY THAT AGREEMENT. THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14. Indemnification

You will defend, indemnify, and hold harmless Data Wise and its members, managers, officers, employees, contractors, agents, affiliates, and licensors from and against any third-party claim, and any resulting loss, liability, damage, cost, or expense (including reasonable attorneys' fees), arising out of or relating to your use of the Site, your breach of these Terms, your violation of applicable law, or your violation of any third-party right. We may assume the exclusive defense and control of any matter subject to indemnification at your expense, and you will cooperate with that defense.

15. Suspension and Termination of Access

We may investigate suspected violations and may restrict, suspend, or terminate your access to the Site at any time, with or without notice, and without liability. Upon termination, the licenses granted in these Terms end immediately.

16. Changes to These Terms

We may revise these Terms at any time by posting the revised version on the Site and updating the review date. Revisions apply prospectively. Your continued use of the Site after a revision takes effect constitutes acceptance of the revised Terms. If you do not agree, stop using the Site.

17. Governing Law and Forum

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of California, without regard to conflict-of-laws rules. You and Data Wise consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of California for any such dispute, and each party waives any objection to those forums based on inconvenient forum or lack of personal jurisdiction.

18. Nonwaivable Rights

Nothing in these Terms limits, waives, or excludes any right or remedy that cannot be limited, waived, or excluded under applicable law. If a provision would have that effect, it applies only to the maximum extent permitted, and the remaining provisions continue in effect.

19. Severability; Waiver; Assignment; Survival

If a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of it, and no waiver is effective unless in writing. You may not assign these Terms or any rights under them without our prior written consent; we may assign these Terms in connection with a merger, reorganization, or sale of assets. Sections addressing ownership and permitted use, restrictions on scraping and model training, feedback, disclaimers, limitation of liability, indemnification, governing law and forum, and this Section survive termination.

20. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Data Wise regarding the Site and supersede all prior understandings regarding the Site. They do not supersede any separately signed Master Services Agreement or Statement of Work.
